Client Service Agreement

This Service Agreement (“Agreement”) is entered into between 1541057 B.C. LTD., doing business as Office Skills with Amy (“we,” “us,” or “our”), and you, the client (“you” or “your”), effective as of the date you purchase a coaching session. Your coach is Amy McLeod, herein referred to as “Amy” or “your coach.” By booking a session, you agree to the terms and conditions outlined in this Agreement.

1. Scope of Services

You are booking either a personalized Microsoft 365 coaching session or a custom group training session with Amy, as agreed to at the time of purchase.

Coaching sessions are 60 minutes and tailored to your goals based on your intake form. After each coaching session, you’ll receive:

  • Personalized session notes
  • Action items
  • A session recording (with your consent)
  • 90-day access to a private client portal (starting from your most recent session)

Group training sessions are 2 hours long, delivered live via Microsoft Teams, and designed for up to 10 participants. These sessions follow a general structure and include a session recording (with your consent) and Q&A.

Customization of group training content is available upon request and must be agreed to prior to booking.

2. Payment Terms

The session fee is as posted on the product page or agreed to at the time of purchase. All pricing is in Canadian dollars plus applicable taxes. We accept Visa, Mastercard, Amex, UnionPay, Google Pay, and Apple Pay. Foreign exchange rates may apply. All payments are final and non-refundable.

3. Rescheduling & Cancellations

You may reschedule or cancel your coaching session up to 48 hours in advance using the tools in your client portal. Cancellations or rescheduling requests made within 48 hours of your coaching session are non-refundable.

For group training sessions, rescheduling or cancellation requires a minimum of five (5) business days’ notice. Requests made within five business days of the scheduled training will result in forfeiture of the session. Group training sessions are non-refundable.

4. Confidentiality

All information shared during your session is confidential. Your personal details, business context, and coaching discussions will not be shared with anyone without your written consent.

5. Use of Session Materials

You’ll receive a recording (if consented), notes, and action items after your session. These materials are for your personal use only and will remain accessible in your client portal for 90 days from your most recent session. Materials may not be shared, distributed, or repurposed for commercial use without permission.

6. Technology & Access

Sessions are conducted via the online client portal. Please ensure you have a stable internet connection and access to the portal at the time of your session. Instructions for accessing the portal will be provided in your welcome email. Access to the client portal will remain open for 90 days from your most recent session.

7. Data Retention

We retain session materials, including notes and recordings, for up to two (2) years following your session, for legal and administrative purposes. These materials are stored securely and are not shared without your written consent, unless required by law. After this period, they will be securely deleted.

8. Limitation of Liability

Coaching services are provided based on Amy’s professional experience with Microsoft 365 in real-world business settings. Coaching focuses on front-end implementation and user experience across Microsoft tools and related productivity applications.

From time to time, we may provide educational and advisory guidance on settings that appear in Microsoft Admin Centers (including but not limited to Microsoft 365, Teams, SharePoint, and Entra) to help you understand available options. This guidance is for informational purposes only. We do not access your tenant, make configuration changes, or provide managed IT services.

You are solely responsible for evaluating, implementing, and testing any changes within your own systems. Administrative implementation, technical configuration, and compliance-related matters remain your responsibility and should be handled by your IT department or a qualified technical professional.

While we strive to provide accurate, relevant, and actionable guidance, we do not guarantee specific outcomes or results from coaching sessions or materials.

To the fullest extent permitted by law, Office Skills with Amy (1541057 B.C. LTD.), Amy McLeod, and any future employees, contractors, or representatives disclaim all liability for any indirect, incidental, special, consequential, or punitive damages, including but not limited to data loss, security breaches, or business interruption.

In no event shall our total liability exceed the amount you paid for the coaching session(s) giving rise to the claim.

By booking a session, you agree to indemnify and hold harmless Office Skills with Amy, Amy McLeod, and any future employees, contractors, or representatives from any claims, liabilities, or expenses arising from your use or misuse of the coaching services, except where caused by gross negligence or willful misconduct.

8A. Limitation on Claims

Any claim arising out of or related to this Agreement must be brought within twelve (12) months of the date of the coaching session giving rise to the claim. After this period, you waive any right to initiate legal action, regardless of any statute of limitations that might otherwise apply.

9. Termination

Office Skills with Amy reserves the right to terminate this Agreement at any time, at its sole discretion, including but not limited to the following circumstances:

  • The scope of the requested support, as determined from the intake form or session discussion, falls outside the services offered. In this case, the session will be canceled and a full refund will be issued.
  • Inappropriate, disrespectful, or unethical behavior occurs. In this case, the agreement may be terminated and the standard cancellation policy will apply.
  • The coaching relationship is determined, at our sole discretion, to be misaligned or not a good fit. In such cases, the agreement may be terminated and a full refund will be issued if no session has taken place.

10. End of Agreement

This Agreement concludes once the coaching session has been delivered and the 90-day client portal access period has ended. No additional services, support, or obligations are implied beyond the delivery of the session and access to the included session materials, unless otherwise agreed to in writing.

10A. Session Expiry

All sessions must be scheduled and completed within 6 months of the original purchase date. Unused sessions will expire after this period and are non-refundable. It is your responsibility to schedule sessions within the allotted timeframe.

11. Changes to This Agreement

We reserve the right to update or modify this Service Agreement at any time. Any changes will be posted on our website and will apply to future bookings. Continued use of our services after changes are posted constitutes your acceptance of the revised terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein. You agree that any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of the Province of British Columbia, and you irrevocably attorn to the jurisdiction of those courts.
